| Since SNC first setlled franchised unit will also be in charge of local distribution, the candidate will hold an international distribution agreement as well. The candidate will run a retail store and a local distribution. Both business will generate profits, but the distribution will better prove effective when a net of SNC stores is settled within the Country. The Candidate has the option of holding an International Master Franchising Agreement . This agreement will bring the Master Franchisee the ability of conquering new candidates and receiving profits for each new settled unit within the country. This is called Territorial Development. The Master Franchisee has no limits of maximum number of own settled stores within the country, although a minimum settlement of one store yearly will aply. |

| 4. How much is the total investment needed for an SNC International Franchising Agreement? |

| 6. What is the term of the SNC International Franchising Agreement? |
| The initial term is 5 years, after which the agreement may be negotiated for renewal for consecutives additional five-year terms. Renewal is subject to SNC approval, current franchise terms and conditions, and renewal fees, corresponding to 20% of the initial franchise fee. For the Master Franchising Agreement the term 10 years, also renewed. |

| 7. How much are the monthly royalty fees? |
| The monthly royalty fee is 2,95 percent of your monthly gross sales. The Master Frinchisee will pay the same taxes, but will receive back 50% of the fees payed by third part units stlled within the country. This meand that in average, if two third part units are setlled in the country besides of yours, the Master Franchisee will tend to pay no royalties. |

| You will operate on a exclusive protected territory basis under the terms of your International Franchising Agreement. The Master Franchising Agreement also sets a Country as an exclusive territory to aplly the Master Franchisee activities (Distribution and the Territorial Development). |

| 9. What kind of training is provided from SNC? |
| International franchisees must attend and successfully complete all training program provided by SNC. That includes four different training in Rio de Janeiro-Brazil.(Nutritional classes, sale technics, menaging system operation and in-store training. Also SNC will provide on-site support from an assigned International Franchise Consultant. The cost of all trainings is included in the initial franchise fee. Franchisees will pay the cost of travel for them and for their employees. |

| 10. What kind of continuing operational support will I receive? |
| The four SNC Franchise Operation Manuals contain every needed information for your store unit. It will serve at first as a prompt helping hand for nutrition information, sales technics , general store manegement and system operation. Besides SNC provides all Franchise units the following services: Inventory purchase assistance; Nutritional technical support online; Franchise consultant visits along the year; Management system support, Free toll helping desk online; Recycling classes free of charge along the year; Marketing research and promotional action projects. |

| 11. How much will be my unit sales and how much do I expet to earn? |

| 12. Can I sell my SNC unit? |
| Your SNC store is your property and like any other business, you can sell your store to a potencial buyer approved by the company. A transfer fee for administrative, legal and training expenses of 25% of the Initial fee will apply to effect the transfer.In the Agreement, SNC will have the right to match any offer you may receive. |
